Terms of Service
Effective July 4, 2026
These terms set the baseline rules for using Faberon Labs services, while keeping customer data ownership separate from assets owned by Faberon Labs.
Acceptance of these terms
These Terms of Service govern access to and use of Faberon Labs websites, products, software, consulting, and related services. By using our services, you agree to these terms.
If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization.
Services
Faberon Labs may provide software, automation, data, engineering, consulting, implementation, support, and related services. Specific deliverables, fees, timelines, and responsibilities may be described in a separate order, statement of work, proposal, or written agreement.
If there is a conflict between these terms and a signed written agreement, the signed written agreement controls for the conflicting subject matter.
Customer data
Customer data belongs to the customer. We do not claim ownership of customer data, files, records, prompts, instructions, business information, credentials, or other materials provided by or on behalf of a customer unless a separate written agreement says otherwise.
Customers are responsible for having the rights and permissions needed to provide customer data to us and for ensuring that their use of our services complies with applicable laws.
Faberon Labs assets and intellectual property
Faberon Labs retains ownership of assets we own or license, including our websites, software, source code, design systems, documentation, templates, processes, logos, trademarks, reusable tools, know-how, and pre-existing materials.
Unless a written agreement says otherwise, no rights are transferred except the limited right to use the services and deliverables for their intended purpose.
Privacy
Our Privacy Policy explains how we handle information. It is part of these terms by reference.
We do not use customer data for marketing, advertising, sale, or AI training unless the customer gives explicit written permission.
Acceptable use
You may not use our services to violate the law, infringe rights, compromise security, distribute malware, abuse systems, interfere with service operation, or attempt unauthorized access to any system or data.
You may not reverse engineer, resell, sublicense, or misuse our services except as permitted by a written agreement.
Fees and payment
Fees, payment terms, taxes, renewal terms, and cancellation rights are as stated in the applicable order, invoice, statement of work, or written agreement.
Amounts due are payable as agreed and may be suspended or terminated if not paid when due.
Third-party services
Our services may depend on or integrate with third-party platforms, vendors, APIs, hosting providers, payment processors, or customer-selected tools.
We are not responsible for third-party services that we do not control, and their terms and policies may apply separately.
Disclaimers
Except as expressly stated in a signed written agreement, our services are provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not guarantee uninterrupted operation, error-free services, or that any service will meet every customer requirement.
Limitation of liability
To the maximum extent permitted by law, Faberon Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
To the maximum extent permitted by law, our aggregate liability for any claim relating to the services is limited to the amount paid to us for the applicable services giving rise to the claim during the three months before the claim arose.
Termination
Either party may terminate services as allowed by the applicable written agreement. We may suspend or terminate access if use of the services violates these terms, creates security risk, or causes legal or operational harm.
Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, and confidentiality-related obligations.
Changes to these terms
We may update these terms from time to time. The updated version will be posted on this page with a new effective date.
